A retail renewal should compare a supported tenant package with the owner’s realistic replacement alternative. Evaluate total occupancy costs, sales and margins where available, existing options, landlord work, concessions, credit, and the center’s tenant mix. A higher face rate creates value only if it is collectible and compensates for the full deal.
This guide focuses on the negotiation decision in retail. For legal option mechanics, see renewal options and fair-market rent. For a general cash-flow comparison, see renewal versus replacement modeling.
Establish the owner’s actual choices
Read the tenant’s renewal option, notice record, rent formula, conditions, and any rights affecting replacement. Counsel should interpret what can be required and what requires voluntary negotiation. An owner may not be free to demand unrestricted market rent if a valid fixed option applies.
Identify the tenant’s alternatives too: relocation cost, competing spaces, customer disruption, new capital, and business plans. Do not assume the tenant must stay because it has invested in the location.
Write the negotiation objective as a complete package: term, rent, recoveries, work, security, options, and timing. A rate target alone can lead to hidden concessions that weaken owner economics.
Support market rent with comparable economics
Use actual competing space and executed evidence where available, distinguishing asking terms from completed transactions. Compare area, frontage, access, condition, infrastructure, term, services, concessions, and credit.
A market-rent definition in the existing lease may specify what factors count. A public filed renewal clause illustrates detailed comparison rules; the subject document controls the actual calculation. Filed market-rent definition.
For Chicago-area storefronts and centers, the relevant trade area and tenant concept matter more than a metropolitan average. Avoid pricing a neighborhood service suite from an unrelated high-street or destination property without supported adjustments.
Test total occupancy burden before setting the ask
Add proposed base rent to CAM, taxes, insurance, marketing, and other required charges under a defined measure. Match sales periods and definitions. A modest base-rent step can coincide with a much larger increase in total costs.
If a tenant pays $60,000 base rent and $30,000 additional charges on $900,000 sales, the listed occupancy ratio is 10%. Increasing base rent to $66,000 and charges to $39,000 raises the burden to $105,000, or 11.67%, even with sales unchanged.
That does not establish an unacceptable threshold. It identifies the size of the change the business must absorb. Review margin, labor, inventory, debt, and liquidity rather than declare affordability from one ratio.
Hypothetical renewal package comparison
Assume a 2,000-square-foot tenant currently pays $25 per square foot. It proposes a five-year renewal at $27 with $20,000 owner work and $5,000 commission. A credible replacement offers $31 but requires $100,000 work, $15,500 commission, nine months vacancy, and three months free base rent.
Over a common sixty-month period, renewal receipts are $270,000. Less listed leasing costs leaves $245,000 before other costs. Replacement has 48 paying months at $62,000 annually, or $248,000 receipts. Less $115,500 work and commission leaves $132,500 before vacant carry and other costs.
The renewal produces $112,500 more in this simplified comparison. A higher replacement face rate does not offset the capital and timing under these assumptions. Credit, recoveries, residual term, and other rights still need to be added before deciding.
Use the model to identify the maximum additional allowance or rent concession the owner could offer while remaining better off than the supported alternative. That is a more useful negotiation boundary than an arbitrary percentage increase.
Separate a true reset from a marketing claim
A seller may describe leases as far below market. Verify the rights, tenant economics, current demand, capital, and timing required to capture that difference. A theoretical rate is not immediate NOI.
Realty Income’s original annual report describes active property monitoring, renewal and releasing, including evaluating rent, tenant credit, property quality and alternative uses. That work is evidence of an execution process; its portfolio results are not forecasts for another Chicago property. Realty Income 2025 report.
If the acquisition depends on resets, show a tenant-by-tenant schedule and a downside where some remain at existing rights or leave. Do not capitalize the highest projected rent while excluding the work required to achieve it.
Trade terms deliberately
A tenant may accept a longer term for better work, a lower initial rate for stronger increases, or a different recovery structure for predictability. The owner may value security, a narrower exclusive, reduced options, or more flexible use. Actual availability depends on negotiation.
Compare each trade in cash and risk. A new base year can reduce recovery income. An expanded exclusive can constrain another vacancy. A longer term at fixed low growth can limit future upside. A guarantee release can weaken credit support despite higher rent.
Have counsel document the full result. An amendment that changes economics should also be reflected in guarantees, lender approvals, security, billing, and the abstract as appropriate.
Use percentage rent carefully
A lower fixed component with defined sales participation can align some upside, but it changes income certainty and reporting needs. Review sales definition, breakpoint, records, audit, confidentiality, and lender treatment. Do not assume a tenant can provide reliable data without the proper agreement.
ICSC’s original interview on retailer portfolio decisions discusses stress-testing store economics and negotiating risk. Treat the dated practitioner discussion as context, not a statement of present Chicago conditions. ICSC retailer negotiation interview.
Model a weak-sales case with reduced variable rent and test whether fixed rent remains affordable. A structure that looks attractive in a strong-sales year may not fund owner obligations in a downside.
Address the premises before promising capital
Inspect the tenant’s actual needs and distinguish maintenance owed under the current lease from negotiated improvements. A longstanding complaint may be a real operating problem, not merely a bargaining tactic. Resolve responsibilities through professional review.
Price work with a defined scope and identify the timing and disruption. A renewal allowance can be cheaper than replacement while still requiring meaningful initial cash. Do not use future rent to fund a current construction bill without a credible source.
Assess residual usefulness. Reusable infrastructure can support future leasing; highly specialized finishes may not. Keep expected future value separate from the cash the owner must spend now.
Preserve the calendar while negotiating
Track the existing option and notice deadlines through counsel. Informal discussions should not cause ownership to lose sight of a contractual election or response. Record communications and distinguish proposals from executed terms.
Start early enough to investigate alternatives if the tenant declines. Early conversation does not require conceding the final economics. It gives the owner information about space needs, condition, credit, and timing.
If negotiations continue near expiration, obtain advice on the actual legal and operational position. Do not assume holdover rent, access, or possession follows a generic rule from another property.
Consider the center’s broader business plan
A renewal can preserve a useful merchant and avoid disruption, but it can also keep an unsuitable mix or constrain redevelopment. Compare the tenant’s role with the property’s actual customer missions and eligible alternatives.
Quantify supported effects on other leases, parking, services, and recoveries. Avoid granting value to vague traffic benefits or treating every replacement as independent of the center. A tenant with modest rent can still be important if its departure triggers other rights.
For Chicago and suburban assets, verify any proposed change of use or expansion with the correct jurisdiction and private agreements. Renewal flexibility is valuable only when it is executable.
Make the approved package easy to administer
The decision memo should show the complete negotiated economics, comparison alternative, capital source, credit support, dates, and unresolved items. Identify the conditions under which ownership would walk away or change strategy.
After execution, reconcile the final amendment to the approved model. Update rent steps, recoveries, options, security, work, management calendar, and financing records. Check the first bill and allowance payment against the documents.
A successful retail renewal preserves or creates owner value through a workable merchant relationship and a better cash-and-risk package than the real alternative. The rate matters, but it should be the result of the analysis rather than the substitute for it.
Keep a concession ledger during negotiations
Track each proposed concession and its economic effect: base-rent reduction, free rent, allowance, commission, expense reset, cap, option, security change, and use right. A sequence of small accommodations can materially change the original offer even when the final face rent remains on target.
For a hypothetical five-year renewal, one month of free rent at $5,000, an additional $15,000 allowance, and a $4,000 annual reduction in recoveries total $40,000 before discounting. That package can offset years of a modest rent increase. The recovery effect is recurring; the allowance is initial cash; the option may have contingent future value. Keep those categories distinct.
Update the comparison alternative whenever the package changes. A decision approved at a prior version is not automatically approval of the final bargain. This simple record also helps the lawyer, broker, manager, and lender work from the same economic understanding.
Retain the final concession ledger so later reviewers can reconstruct the package.
